Nepal Reinsurance Company has announced a strategic capital augmentation plan through the issuance of 100% rights shares to its existing shareholders. With the approval of the Ministry of Finance, the company intends to double its paid-up capital by offering one new share for every share currently held, marking a significant milestone in its financial and operational growth trajectory.

Currently, the company’s paid-up capital stands at NPR 1.342 billion. The proposed rights issue aims to increase this figure substantially, aligning with the directives from the Insurance Board of Nepal. The regulatory authority has emphasized the necessity for Nepal Reinsurance to maintain a paid-up capital exceeding NPR 2.6 billion. This capital threshold is deemed essential not only for sustaining the company’s business expansion plans but also for strengthening its competitive position in international insurance markets.

To facilitate this capital enhancement, Nepal Reinsurance Company will present the rights issue proposal at the upcoming general meeting as a special resolution, in accordance with the company law provisions. The move reflects a forward-looking approach by the management to comply with regulatory mandates while empowering the company to capitalize on emerging opportunities in the reinsurance sector.

This rights share issuance represents a pivotal step toward reinforcing the company’s financial foundation, enabling it to better manage risk, underwrite larger portfolios, and pursue growth strategies that include geographic diversification and service innovation. As Nepal’s insurance landscape evolves, Nepal Reinsurance Company’s proactive capital strengthening underscores its commitment to sustainable growth and enhanced market relevance both domestically and internationally.
