Citizens Bank International Limited has initiated a bold step in reshaping its internal ownership structure through the planned sale of 55,423.12 units of promoter shares. This move marks more than just a share transaction, it reflects a broader vision of governance transformation, shareholder consolidation, and long-term strategic direction for one of Nepal’s leading commercial banks.

The offering is exclusively available to existing promoter shareholders for an initial 35-day window, ensuring the opportunity to reinforce internal equity control remains within the founding circle. The minimum sale price is set at NPR 115 per share, representing a fair valuation based on the bank’s institutional reputation and underlying performance. Interested parties must submit their applications at the bank’s central office in Narayanhiti Path, Kathmandu.

Should this reserved pool of buyers choose not to acquire the full allotment, the bank has signaled its readiness to extend the sale to qualified external investors, including individuals and institutional entities. This two phase strategy not only ensures full subscription of the shares but also allows for fresh capital and strategic partnerships if necessary, without undermining the value or prestige of the stake.

From a governance perspective, this initiative allows the bank to streamline its ownership architecture, strengthen its capital position, and potentially invite boardroom shifts based on new or consolidated ownership. At a time when Nepal’s banking sector is undergoing regulatory upgrades and digital modernization, Citizens Bank’s initiative appears well-aligned with the broader momentum for reform and competitive positioning.
