Prabhu Insurance Limited is set to host its 29th Annual General Meeting (AGM) on Shrawan 23, marking a pivotal moment in the company’s growth journey. The meeting, to be held at Prabhu Complex, Tinkune, Kathmandu, will focus on a series of strategic initiatives aimed at boosting shareholder value and reinforcing the company’s position in Nepal’s insurance market. With the AGM agenda highlighting financial transparency, shareholder rewards, and long-term planning, the event is expected to reflect the company’s bold vision and sound governance.

A key highlight of the AGM is the proposal to distribute an attractive 18% bonus share and a 0.9474% cash dividend to shareholders. This dual return not only signals the company’s strong financial standing but also shows management’s commitment to rewarding investor trust. By balancing reinvestment and distribution, Prabhu Insurance aims to maintain growth momentum while delivering tangible value to its shareholders.

The AGM will also feature the review of vital financial documents, including audit reports, balance sheets, and equity statements, reinforcing the company’s commitment to full transparency. Of notable interest is the company’s decision to adjust its previously approved 50.15% rights offering to 47%, reflecting the impact of the proposed bonus shares. This strategic recalibration ensures efficient capital deployment and sustains a balanced ownership structure between promoters and public shareholders.

With regulatory flexibility in mind, shareholders will also vote on giving the board broader authority to modify key company documents as needed. This move allows Prabhu Insurance to remain agile in a dynamic financial environment. The book closure on Shrawan 2 confirms eligibility for shareholders holding shares through Shrawan 1,ensuring proper stakeholder inclusion. Altogether, the upcoming AGM not only demonstrates strong operational results but also marks the company’s evolution into a future ready, shareholder driven insurer.
